OMRON Connect Term of Use

This OMRON CONNECT END-USER LICENSE AGREEMENT (EULA) is a legal agreement between you (End-user or you) and OMRON HEALTHCARE Co., Ltd., (Licensor, us or we) for the use of the OMRON connect Application Software (App, as defined below) and OMRON connect Cloud Service (Service, as defined below).
We license use of the App and/or the Service to you on the basis of this EULA and subject to any rules or policies applied by any app store provider, such as but not limited to the Apple App Store or the Google Play Store (Third Party Rules). We do not sell the App and/or the Service to you and remain the owners of the App and/or the Service at all times.
It is important that you read and understand this EULA before clicking “I Agree” button.
By clicking the "I Agree" button below YOU AGREE to the terms of this EULA which will legally bind you. The terms of this EULA include, in particular, a disclaimer clarifying that the App and/or the Service do not provide medical advice (section 5.1) and limitations of liability (section 5). In addition, by clicking the “I Agree” button below and/or by using our App and/or the Service, you represent and warrant that you have the requisite capacity and competence to enter into and perform your obligations and the terms of/under this EULA.
If you do NOT AGREE to the terms of this EULA, we will not license use of the App and/or the Service to you and you should stop the process to start using it now by clicking on the "Do not agree" button below. In this case the process will terminate.
Article 1 - ACKNOWLEDGEMENTS
- This EULA applies to use of the App and/or the Service, including any updates or supplements thereto, unless such updates or supplements come with separate terms, in which case those terms apply.
- We may change the terms of this EULA at any time by notifying you of a change when you next start or use the App and/or the Service or by publishing on our website. The new terms may be displayed on-screen and you may be required to read and accept them to continue your use of the App and/or the Service.
- From time to time updates to the App and/or the Service may be issued through the app store provider. Depending on the update, you may not be able to use the App and/or the Service until you have downloaded or streamed the latest version of the App and/or the Service and accepted any new terms. However, even if the App and/or the Service is outdated, we are under no obligation to update the App and/or the Service.
- If a minor uses this Software, he/she must obtain the guardian’s (such as a parent) acceptance and consent to this EULA (including this article and Article 5).
- If the user is a minor, legal guardian is responsible for managing, supervising the user, and is responsible for all actions taken by the user when using this application and the resulting consequences.
Article 2 - GRANT AND SCOPE OF LICENSE
- In consideration of you agreeing to abide by the terms of this EULA, we grant you a non-transferable, non-exclusive license to use the App and/or the Service on your Device, subject to these terms and the Third Party Rules, incorporated into this EULA by reference. To the extent of any inconsistency between the terms of this EULA and the Third Party Rules, the terms of this EULA shall prevail. We reserve all other rights.
- You may download a copy of the App onto your Device and to view, use and display the App and/or the Service on your Device for your personal purposes only. We only supply the App and/or the Service for domestic and private use. You agree not to use the App and/or the Service for any commercial, business or reselling purposes.
- For the purposes of improving the functions of this Software and other business purposes, the Company may collect non-personal data from the Customer's use of this Software. Additionally, for the same purposes, this non-personal data may be shared with third parties.
- You may use the " OMRON connect Cloud Service" that is included with the Software at their own discretion. Additionally, when using this service, in addition to this EULA, the "OMRON connect Cloud Service Terms of Use" set forth below also apply.
Article 3 - ACCEPTABLE USE RESTRICTIONS
- You are responsible for preparing your own Device, executing the download and installation of the App, creating your account for the Service and preparing any ancillary equipment and circumstances for the use (such as an internet connection) at your own costs.
- You should take security measures for their own usage environment to prevent computer viruses, unauthorized access, and data leaks. We do not intervene in the Customer's usage environment, nor does it take any responsibility for it.
- Except as expressly set out in this EULA or as permitted by any applicable local law, you agree:
- Not to copy the App and/or the Service except where such copying is incidental to normal use of the App and/or the Service, or where it is necessary for the purpose of back-up or operational security;
- Not to rent, lease, sub-license, loan, translate, merge, adapt, vary or modify the App and/or the Service;
- Not to make alterations to, or modifications of the whole or any part of the App and/or the Service;
- Not to permit the App and/or the Service or any part of it to be combined with, or become incorporated in, any other programs;
- Not to use this App and/or the Service for any commercial, business, or reselling purposes.
- Not to disassemble, decompile, reverse-engineer or create derivative works based on the whole or any part of the App and/or the Service or attempt to do any such thing.
- Not use the App and/or the Service in any unlawful manner, for any unlawful purpose, or in any manner inconsistent with this EULA, or act fraudulently or maliciously, for example, by hacking into or inserting malicious code, including viruses, or harmful data, into the App and/or the Service or any operating system;
- Not infringe our intellectual property rights or those of any third party in relation to your use of the App and/or the Service (to the extent that such use is not licensed by this EULA);
- Not transmit any material that is defamatory, offensive or otherwise objectionable in relation to your use of the App and/or the Service;
- Not use the App and/or the Service in a way that could interfere with other users or damage, disable, overburden, impair or compromise our systems or security or those of any third party in relation to the App and/or the Service; and
- Not collect or harvest any information or data from our systems or attempt to decipher any transmissions to or from the servers.
- To comply with all applicable technology control or export laws and regulations that apply to the technology used or supported by the App and/or the Service.
- The following actions that promote or facilitate the behaviors mentioned above.
- Any other behavior that we or our licensors deems inappropriate.
Article 4 - INTELLECTUAL PROPERTY RIGHTS
- You acknowledge that all intellectual property rights in the App and/or the Service anywhere in the world belong to us or our licensors, that rights in the App and/or the Service are licensed (not sold) to you, and that you have no rights in, or to, the App and/or the Service other than the right to use the App and/or Service in accordance with the terms of this EULA.
- You acknowledge that you have no right to have access to the App and/or the Service in source-code form.
- You will not challenge the validity of any of our intellectual property rights licensed pursuant to this EULA or oppose any application for the registration of such intellectual property rights.
Article 5 - LIMITATION OF LIABILITY AND INDEMNIFICATION
- YOU UNDERSTAND THAT THE APP AND/OR THE SERVICE ARE PROVIDED ‘AS IS’ AND THAT IT IS NOT INTENDED TO AMOUNT TO ANY ADVICE, INCLUDING BUT NOT LIMITED TO MEDICAL ADVICE, OR FOR DIAGNOSTIC PURPOSES ON WHICH RELIANCE SHOULD BE PLACED. WE ARE NOT A MEDICAL CARE PROVIDER AND DO NOT PROVIDE MEDICAL ADVICE. THE APP AND/OR THE SERVICE ARE NOT INTENDED TO BE RELIED UPON IN LIEU OF MEDICAL TREATMENT OR ADVICE BY A TRAINED MEDICAL CARE PROVIDER. ALWAYS CONSULT YOUR DOCTOR OR OTHER HEALTHCARE PROFESSIONAL WITH ANY QUESTIONS REGARDING ANY MEDICAL CONDITION, OR FOR SPECIFIC GUIDANCE REGARDING NUTRITION OR PHYSICAL ACTIVITY.
- You acknowledge that the App and/or the Service has not been developed to meet your individual requirements, and that it is therefore your responsibility to ensure that the facilities and functions of the App and the Service meet your requirements. You agree that you use the App and the Service at your own risk.
- Use of and access to the App and/or the Service is permitted on a temporary basis, and we reserve the right to withdraw or amend the App and/or the Service without notice. From time to time, we may restrict access to some parts of the App and/or the Service or to the entire App and/or the Service, or to users who have registered with us. We will not be liable if for any reason the App and/or the Service are unavailable at any time or for any period.
- The App and/or the Service includes links that may direct users to independent third-party websites or mobile applications (hereinafter referred to as 'Third-Party Websites') and may provide functions to connect to such Third-Party Websites. These Third-Party Websites are not managed by us, and we are not responsible for their content or for the data management and privacy policies of third parties, nor does it provide any guarantees. Customers must independently evaluate their communications with Third-Party Websites (including the purchase and use of products or services available through access to Third-Party Websites).
- TO THE EXTENT PERMITTED BY LAW, THE APP AND/OR THE SERVICE ARE PROVIDED WITHOUT ANY GUARANTEES, CONDITIONS OR WARRANTIES AS TO ITS ACCURACY, PERFORMANCE OR UNINTERRUPTED SERVICE. WE WILL NOT BE LIABLE FOR ANY LOSS OR DAMAGE CAUSED BY THE APP AND/OR THE SERVICE, A DISTRIBUTED DENIAL-OF-SERVICE ATTACK, VIRUSES OR OTHER TECHNOLOGICALLY HARMFUL MATERIAL THAT MAY INFECT YOUR DEVICE, COMPUTER EQUIPMENT, COMPUTER PROGRAMS, DATA OR OTHER PROPRIETARY MATERIAL DUE TO YOUR USE OF THE APP AND/OR THE SERVICE OR TO YOUR DOWNLOADING OF ANY MATERIAL POSTED ON IT, OR ON ANY WEBSITE LINKED TO IT. FURTHERMORE, TO THE EXTENT PERMITTED BY LAW, WE, OTHER MEMBERS OF OUR GROUP OF COMPANIES AND THIRD PARTIES CONNECTED TO US HEREBY EXPRESSLY EXCLUDE:
(1) ALL GUARANTEES, CONDITIONS, WARRANTIES AND OTHER TERMS WHICH MIGHT OTHERWISE BE IMPLIED;
(2) ANY LIABILITY FOR ANY DIRECT, INDIRECT OR CONSEQUENTIAL LOSS OR DAMAGE INCURRED BY ANY USER IN CONNECTION WITH THE APP AND/OR THE SERVICE OR IN CONNECTION WITH THE USE, INABILITY TO USE, OR RESULTS OF THE USE OF THE APP AND/OR THE SERVICE AND ANY MATERIALS POSTED ON IT, INCLUDING BUT NOT LIMITED TO:
- LOSS OF INCOME OR REVENUE;
- LOSS OF DATA;
- INJURY OR DEATH;
- DETERIORAION OF YOUR HEALTH CONDITION;
- LOSS OF OPPORTUNITY FOR MEDICAL TREATMENT OR DIAGNOCIS
- WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT OR OTHERWISE, EVEN IF FORESEEABLE.
- YOU AGREE TO INDEMNIFY, DEFEND AND HOLD US, OUR AFFILIATED COMPANIES, AND THEIR DIRECTORS, OFFICERS, AND EMPLOYEES HARMLESS FROM ANY LIABILITY, LOSS, CLAIM AND EXPENSE, INCLUDING REASONABLE ATTORNEY FEES AND EXPENSES, RELATED TO YOUR BREACH OF THIS EULA OR YOUR USE OF THE APP AND/OR THE SERVICE.
- The App and/or the Service is designed for Device. For a list of compatible Device visit: https://www.omronconnect.com/devices. We will have no liability for errors, unreliable operation, or other issues resulting from use of the App and/or the Service on or in connection with rooted or jail broken Device or use on any Device that is not in conformance with the manufacturer’s original specifications, including use of modified versions of the operating system (collectively, “Modified Device”). Use of the App and/or the Service on and through Modified Device will be at your sole and exclusive risk and liability.
- Due to the fact that many countries consider the ECG function to be a medical device, its use must comply with the relevant laws and regulations of that region, and it can only be used in the locations (countries) stipulated by law. Therefore, the ECG function can only be used in the "region of residence" selected by the user when installing this application, as well as the location where the device was purchased. If the ECG function is used in other countries or regions, please apply for a consumer-use import permit certificate or confirm that usage is legally permitted according to local laws and regulations. If this clause is violated, the user shall be solely responsible.
Article 6 - TERMINATION
- We may terminate the license herein and this EULA immediately and without incurring any liability by written notice to you:
- if you commit a material or persistent breach of this EULA which you fail to remedy (if remediable) within 14 days after the service of written notice requiring you to do so;
- if you breach any of the Acceptable Use Restrictions (article 3); or
- If we decide in our sole discretion to no longer support the App and/or the Service and discontinue the App and/or the Service indefinitely.
- On termination for any reason:
- All rights granted to you under this EULA shall cease;
- You must immediately cease all activities authorized by this EULA, including your use of the App;
- You must immediately delete or remove the App from all Device, and immediately destroy all copies of the App then in your possession, custody or control and certify to us that you have done so;
- and, thereafter, you remain bound by the sections that by their nature or intended character can survive expiration or termination of this EULA.
- If we end your rights to use the App and/or the Service:
- You must stop all activities authorized by these terms, including your use of the App and/or the Service.
- You must delete or remove the App from all Device in your possession and immediately destroy all copies of the App which you have and confirm to us that you have done this.
Article 7 - EVENTS OUTSIDE OUR CONTROL
We will not be liable or responsible for any failure to perform, or delay in performance of, any of our obligations under this EULA that is caused by any act or event beyond our reasonable control, including failure of public or private telecommunications networks (Event Outside Our Control).
Article 8 - OTHER IMPORTANT TERMS
- We may transfer our rights and obligations under this EULA to another organization, but this will not affect your rights or your obligations under this EULA.
- You may only transfer your rights or obligations under this EULA to another person if we agree in writing.
- If we fail to insist that you perform any of your obligations under this EULA, or if we do not enforce our rights against you, or if we delay in doing so, that will not mean that we have waived our rights against you and will not mean that you do not have to comply with those obligations. If we do waive a default by you, we will only do so in writing, and that will not mean that we will automatically waive any later default by you.
- Each of the conditions of this EULA operates separately. If any court or competent authority decides that any of them are unlawful or unenforceable, the remaining conditions will remain in full force and effect.
- This EULA, its subject matter and its formation, are governed by the laws of Japan. You agrees that the Kyoto District Court shall be the exclusive agreed jurisdiction for resolving disputes related to the EULA and the Software. However, if there are other mandatory legal provisions that stipulate Hong Kong law as the governing law or the Hong Kong local court as the jurisdictional court, those legal provisions shall take precedence.

ANNEX: Terms of Use of OMRON Connect Cloud
When you use "OMRON Connect Cloud" service (hereinafter referred to as "the Service"), the " Terms of Use of OMRON Connect ", (hereinafter referred to as the "Terms of Use") shall also apply. Except as otherwise provided in the Terms of Use, the provisions and definitions in the " Terms of Use of OMRON Connect " shall prevail.
Article 1 - APPLICATION OF THE TERMS OF USE
The Terms of Use of OMRON Connect Cloud stipulate the conditions for using this service, including any revisions or changes made to the content, and apply to all of your actions when using this service. However, if the revision or change is based on other terms, then those terms will take precedence and be the applicable terms.
We may revise the Terms of Use of OMRON Connect Cloud based on legal requirements or other factors. In such cases, we will provide advance notice to the customer through appropriate means, such as by posting the revised Terms of Use, the updated content, and the effective date on the company's website.
Article 2 - CREATING AN ACCOUNT
- To use the Service, you need to first create your own account for the Service according to our instructions. Only one account may be held per person. An account may not be shared or used by more than one person.
- If we determine in our discretion that you have breached, or are likely to breach these Terms for Service or EULA, we may suspend your use of the Service or delete your account without prior notice to you.
- We may, without prior notice to you, delete your account if it has not been accessed for more than one year.
- Your right to use the Service (including the right to view Server-Stored Data) will terminate upon the deletion of your account for any reason. If your account is deleted (including if you delete your own account by mistake), we will be unable to restore the deleted account or the information. Even if you cancel your account, you can keep using the App subject to the EULA.
- Your rights under these Terms for Service (including the right to use your account) may not be assigned, transferred, leased to, or inherited by, any third party. Any actual or suspected breach of this clause may result in suspension of your use of the Service or the deletion of your account without prior notice to you.
Article 3 - RESPONSIBILITY TO MANAGE YOUR ACCOUNT AND PASSWORD
- You must not share your account password with any other person. You will be solely responsible for the use and management of your account and password.
- We will not be responsible for any loss or damage incurred arising out of the unauthorized use of your account due to your breach of these Terms for Service or EULA.
- If you become aware that your account or password has been stolen or otherwise used by a third party without your authorization, you must immediately notify us and follow any instructions given by us in connection with your account.
- If you have forgotten your password, you should follow our instructions to recover or reset your password.
Article 4 - DEFINITIONS
- “Vital Sign” means the data measured by devices provided by us, such as blood pressure values, weight, body fat, and other measurement data.
- “Customer Information” means your date of birth, age, gender, height, body weight, and/or any other attribute information which are provided by you (“Attribute Information”); your blood pressure, body weight and other measurement data measured by our healthcare device (“Vital Data”);information about the healthcare device from which Vital Data is transmitted to the App and information entered in such device (“Registered Device Information”); and your login ID, token for authenticating ID, e-mail address, password, and any other information relating to your account set by you to use the Service (“Account Information”);
- “Server-Stored Data” means such part of the Customer Information (as defined in OMRON CONNECT PRIVACY STATEMENT) related to the Service as stored in servers managed by us or our service provider.
Article 5 - SUSPENSION AND DISCONTINUATION OF SERVICE
- We may suspend or discontinue all or part of the Service if we deem that any of the following events has occurred:
(1) if we become unable to provide the Service due to any failure of telecommunication equipment, any act of God, incident or other emergency or any other force majeure event;
(2) if it is necessary to conduct maintenance or construction work or other analogous event with respect to the servers or to any other Device or equipment in connection with the provision of the Service;
(3) if any malfunction or failure occurs in any server or in any other Device or equipment used in the provision of the Service; or
(4) if it is necessary to suspend the provision of all or part of the Service for operational, security or technical reasons.
- Even if the service is suspended or terminated in accordance with the preceding provisions, resulting in damage to you, we shall not be held liable.
Article 6 - EXCLUSION OF LIABILITY
- To the maximum extent permitted by law, we exclude all liability for any loss or damage that may arise as a result of or in connection with:
(1) malfunction or any other problems associated with your Device, or the use of any other third party services not operated by us;
(2) the suspension or discontinuation of the Service by us in accordance with these Terms for Service;
(3) any inability to access or use all or part of the Server-Stored Data due to the communication condition of your Device, due to any bugs contained in the App and/or the Service, or due to any other cause;
(4) the loss of Customer Information that may arise in connection with your use of the Service. We may reproduce Server-Stored Data at our own judgment to the extent necessary and possible for the maintenance or, improvement of the Service; or
(5) deletion of all or part of the Server-Stored Data in accordance with these Terms for Service.
(6) To maintain and improve this service, we may copy and store data on the server to the extent necessary.
Article 7 - DELETION OF SERVER-STORED DATA
- We may delete all or part of the Server-Stored Data in any of the following events:
(1) if you breach any provision of these Terms for Service or EULA;
(2) if the Service is discontinued; or
(3) if you have not accessed the Service for one year;
- It is your responsibility to regularly backup the Server-Stored Data to avoid the loss of such data.
Article 8 - INFORMATION MAY BE COLLECTED
- We may use cookies (Note 1) or referer information (Note 2) to collect your access logs, operational records within the software, search information, IP addresses, dates, referral and exit pages, and other data related to the usage of the service and communications (hereinafter referred to as 'log information'). If you disable cookies on your browser, the use of this service may be restricted. Additionally, sending log information may incur communication fees.
Note 1: Refers to the identification information sent from the web server when accessing a website via a browser, which is subsequently sent from the browser to the server during later accesses.
Note 2: Refers to the information related to the URLs previously browsed by the client that the browser sends.
- For the purpose of improving services, we may use external analytics services to analyze usage. Additionally, the data recorded by such services does not include personally identifiable information.
- We may obtain the ID used by you on external services and other information that you agree to disclose to third parties based on the privacy settings of those external services.
- For detailed information regarding the collection, processing, and use of the aforementioned information by us, please refer to our privacy statement.
Article 9 - HOW TO USE YOUR INFORMATION
- We use personal data held about you for the following purposes:
- to inform you of products and/or services we offer;
- to provide, operate, and manage the App and/or the Service;
- to handle your enquiries about the App and/or the Service;
- to ask you to fill in questionnaires;
- to develop or improve our products (including development of algorithms) and/or services in our medical or healthcare businesses;
- to distribute campaign and event information, announcement of drawings and winners, or shipping of prizes;
- to recruit subjects for clinical study or execute clinical study;
- to conduct medical/healthcare research and related academic activities, including publications of treatise and articles;
- to respond when you contact us for support or other purposes; and
- to conduct other planning and marketing activities, development (including system and application development) activities, production activities, and promotional and sales activities related to medical or healthcare devices and services, as well as activities incidental to any of the above activities.
* We will use and transfer Google Fit Data received from Google APIs to any other app in compliance with Google API Services User Data Policy, including the Limited Use requirements.
- We may disclose personal data we collect from you to the third parties including our affiliated companies and vendors to operate the App and the Service for the following purposes:
- to process personal data for the purposes above written, including application usage analytics, data storage, customer support and marketing analysis;
- to enforce any of our terms and conditions or policies;
- to comply with a law, regulation, court order, legal process or governmental request in or outside the country of your residence;
- to assert legal rights or defend against legal claims; and
- to prevent, detect or investigate illegal activity, fraud, abuse, violations of our terms, threats to the security or physical safety of any person.
- to register, administer, manage and service the product warranty.
- When collaborating with external services such as Facebook, Google accounts, or using external services for authentication, we may share your data with the operators of these external services.
- Aside from the aforementioned situations, we may also share customer data, including your personal information, with affiliated companies and other third parties, organizations, or individuals after obtaining your consent.
- Aside from the provisions of the previous paragraph, we may also process customer data to ensure that personal information used for creating anonymized and statistical data cannot be restored or linked to specific individuals. This data may be disclosed or provided to third parties in various forms, such as publications in medical journals and academic conferences, materials for activities, or postings on websites and applications (including social media).

本使用合約(下稱「本協定」)是使用由OMRON HEALTHCARE Co., Ltd.(下稱「本公司」)提供之軟體「OMRON connect」(包含OMRON connect所提供的服務及附屬提供的「OMRON connect 雲端備份」等服務,下簡稱「本軟體」)的客戶(下稱「客戶」)與本公司之間的法律同意書。
本公司根據本協定及適用於應用程式商店供應商(包括但不限於Apple AppStore或Google Play商店等,下簡稱「應用程式商店供應商」)的條款或政策(下稱「第三方條款」),允許客戶使用本軟體。
須同意本協定,方能使用本軟體。
客戶知悉並同意,通過點擊"同意"鍵,等同使用電子簽署之方式簽署同意書,同意接受本協定之條件。本協定特別包括本軟體並不提供醫療上的建議(第5條第2項)、明確責任限制及免責的條款(第5條)等內容。如客戶不接受本協定的內容,本公司則不授權客戶使用本軟體,客戶應立即停止下載。
第1條(總則)
- 本協定規定本軟體之使用條件,包括修正、變更後內容在內,並適用於客戶使用本軟體時所有行為。
- 本公司可能依據法令規定變更本協定。遇此情況,本公司會以適當方式事先通知客戶,如將變更本協定之意思表示、本協定變更後之內容與生效日期刊登於本公司網站等。
- 本軟體將隨時經由應用程式商店供應商更新。視更新內容而定,客戶可能須先下載本軟體最新版本並確認新條款,方能使用服務。惟本公司並未負有更新本軟體之義務。
- 未成年人使用本軟體,須由法定代理人(監護人等)同意所有本軟體(包括同意本協定本條本項及第5項)使用規定。
- 若客戶未成年,則客戶監護人應對客戶進行管理、監督,並對客戶使用此應用程式時執行之所有行為及其結果負責。
第2條(使用許可及其範圍)
- 於客戶同意本協定的前提下,本公司將根據本協定及第三方條款允許客戶享有不得轉讓且非獨佔,於智慧型手機或平板電腦等裝置(下稱「裝置」)上使用本軟體之權利。本公司保留其他所有權利。
- 客戶僅可於個人使用範圍內下載本軟體至客戶之裝置,並於裝置上使用本軟體及服務。
- 基於改善本軟體功能等本公司業務範圍內目的,本公司可能會透過客戶對本軟體之使用收集客戶之非個人資料。此外,基於相同目的,此類非個人資料可能會傳送給第三方。
- 客戶得依其意願使用本軟體附帶之「OMRON connect 雲端備份」服務。此外,使用該服務時,除適用本協定之外,以下訂定之《OMRON connect 雲端備份使用條款》亦適用之。
第3條(使用條件)
- 客戶應自行負擔責任及費用,適當備妥使用本軟體所需之裝置、傳輸機器、其他所有機器、軟體、傳輸方式、電源等。
- 客戶應針對自己的使用環境採取安全措施,以防止電腦病毒、非法存取及資料外洩等,本公司概不干涉客戶之使用環境,亦概不負責。
- 除本協定另有規定或法律要求外,客戶應於使用本軟體時避免執行符合或可能符合下列各款之行為,抑或服務供應者認為可能符合之行為。
- 複製本軟體(除正常使用本軟體時,為進行備份及確保操作安全而有其必要者)。
- 出租、租賃、再授權、出借、翻譯、整合、改變、變更、重製、改作或修正本軟體。
- 全部或部分變更、修正本軟體。
- 將本軟體全部或部分合併、編入其他程式。
- 基於商業、業務或轉售目的使用本軟體。
- 使用、製作、公開會影響本軟體之外部工具等。
- 對本公司或第三人之伺服器施加負擔,或妨礙網路、系統。
- 對本軟體的全部或部分進行反編譯、反組譯、逆向工程,或基於本軟體創造衍生應用程式。
- 基於非法目的或非法手段,抑或以違反本協定之方式使用本軟體,又或不法、惡意(例如,使惡意軟體(包括病毒或有害資料)侵入或裝入本軟體或操作系統)使用本軟體。
- 侵害本公司或第三方智慧財產權。
- 向本公司或第三方傳送中傷、侮辱或令人反感的訊息。
- 以可能會干擾其他用戶之方式使用本軟體,或透過本軟體致使本公司或第三方之系統或安全性遭破壞、無法使用、負擔過重、遭毀損或危害。
- 除上述各款之外,違反法律、本協定、公序良俗,干擾第三方使用本軟體,損害本公司信用或侵害本公司財產,抑或造成第三方或本公司蒙受損失等行為。
- 助長上述各款所訂行為之行為。
- 其他本公司判斷不適當之行為。
第4條(智慧財產權)
- 客戶同意與本軟體相關之所有智慧財產權均歸屬本公司或本公司授權人。此外,除根據本協定內容使用本軟體之權利外,客戶對本軟體不具任何權利。
- 客戶無權以原始碼形式存取本軟體。
- 客戶不會質疑本協定授予的知識產權有效性,以及對知識產權的註冊申請作出反對。
第5條(責任限制及免責)
- 本軟體雖會儲存體重、血壓、脈搏等客戶健康狀況相關資料,但目的並非提供醫療建議、指導、診斷等。本公司不會透過本軟體提供醫療建議等。此外,本軟體之目的並非替代由醫療人員行使之醫療或醫療建議。對於病情、營養或身體活動相關之特定指示有所疑問時,請務必諮詢醫師或醫療專家。
- 本軟體為本公司於該時點可提供之程式。本公司概不保證本軟體之完整性、正確性、適用性、有效性、可用性、安全性、確定性等。
- 本軟體可能因過度存取、本軟體之缺陷以及其他意外原因,導致顯示速度降低或無法使用。若因過度存取、本軟體之缺陷或其他意外原因導致本軟體的顯示速度降低或無法使用,本公司概不負責。
- 若由於客戶裝置之電波收訊狀況、操作系統版本或其他功能限制等原因而無法使用本軟體,本公司亦概不負責。
- 本軟體包括可以從本公司轉進獨立第三方網站或行動裝置應用程式(下稱「第三方網站」)之連結,並可能提供連接第三方網站之功能。上述第三方網站非由本公司管理,本公司對其內容及第三方的資料管理、隱私政策概不負責,亦不作任何保證。客戶須自行判斷其與第三方網站之通訊事項(包括購買、使用可透過存取第三方網站購買的產品或服務)。
- 對與本軟體有關,或因本軟體及發送至本軟體資料之使用、無法使用、使用結果導致客戶遭受之損害,無論其發生原因為何,亦不論是否已預見或可預見該損害之發生,本公司、本公司集團公司及與本公司有關之第三方均概不負責。此外,損害包括但不限於下列任何一款。
- 失去所得或收入
- 失去、中斷業務,失去業務機會
- 失去利潤或合約
- 失去檔案
- 失去商譽
- 浪費管理或勞務時間
- 傷害或身故
- 客戶同意,當客戶使用本軟體時違反本協定,則本公司對其所導致之客戶責任、損失、賠償及經費(包括律師費用)等免責,客戶並應維護本公司,不使本公司蒙受損害。
- 由於許多國家認定心電圖功能為醫療器材,使用須遵從該地區相關法律規定,且僅能於法律規定之地點 (國家) 使用,因此心電圖功能僅可於貴用戶安裝本應用程式時所選之「居住地」以及購買該器材所在地使用。如有在其他國家或地區使用心電圖功能,請依照當地法令申請消費者專供個人使用之輸入許可證明或確認依法許可使用,如有違反此條款,貴用戶須自行承擔責任。
第6條(變更、停用本軟體)
- 本公司可自行決定是否變更本軟體之規格、設計、視聽效果等,並中止或結束提供全部或部分本軟體。惟,如需中止或結束提供全部或部分本軟體,本公司當盡商業合理範圍內之努力事先通知客戶。
- 當客戶符合下列各款行為,本公司可以通知立即結束對客戶提供全部或部分本軟體。
- 客戶違反本協定,且客戶未於本公司發出修正要求通知後14天內修正者。
- 客戶違反第3條訂定之任一禁止事項者。
- 其他經本公司判斷為不宜者。
- 若根據前項規定結束提供本軟體,則根據本協定授予客戶之所有權利將於結束提供之際失效。
- 當客戶根據本條第1項或第2項之規定結束使用本軟體時,客戶必須立即停止使用本軟體以及所有本協定允許之活動,並立即從所持有的所有裝置中刪除或消除本軟體。此外,若客戶持有、保管或管理本軟體的複本,必須立即刪除,並須於本公司要求時,向本公司提出已刪除證明。
- 本協定之效力於結束提供本軟體後仍持續有效。
第7條(不可抗力)
因超出本公司合理控制範圍內的行為或事由(包括電信網路故障,下稱「不可抗力事由」)導致本公司無法依本協定履行義務、延遲履行義務、造成客戶損失等時,本公司概不負責。惟,本公司當努力於商業合理範圍內,根據本協定履行本公司之義務。
第8條(其他)
- 本公司可根據本協定將本公司之權利義務轉讓給第三方,然此並不影響基於本協定所訂定之客戶權利或本公司義務。
- 惟有獲得本公司書面同意後,客戶方能將基於本協定所訂定之客戶權利或義務轉讓給第三方。
- 無論本公司是否未主張客戶履行基於本協定所訂定之任一客戶義務、是否不強制對客戶執行本公司權利、是否推遲執行上述行為,皆不代表本公司對客戶放棄本公司權利,亦不代表客戶免除上述義務。假設本公司放棄追究客戶不履行之權利,本公司將透過書面通知予以放棄。前開書面通知不代表本公司一併放棄追究客戶於收到書面通知後之不履行,本公司仍保有追訴之權利。
- 本協定中各項條款單獨有效。即使具管轄權之法院或行政機關裁定其中任何條件無效,其他條款仍完全有效。此外,本協定中部分各項條款縱因與特定客戶之關係而無效或遭撤銷,本協定與其他客戶之間仍屬有效。
- 本協定以日本法律為準據法。客戶同意由京都地方法院為解決本協定、本軟體相關紛爭之專屬合意管轄法院。但若有其他法律強制規定應以香港法為準據法或香港當地法院為管轄法院者,從其法律規定。
第9條(聯絡方式)
客戶若對於本軟體有不明之處,或對本協定有任何疑問、高見或要求,抑或因本協定中各項條款而需通知本公司時,請以電子郵件寄至omron@newstarltd.com.hk或通過向OMRON HEALTHCARE Co., Ltd.寄送普通郵件,與本公司聯絡。

OMRON connect 雲端備份使用條款
當客戶使用「OMRON connect 雲端備份」(下稱「本服務」)時,除上述《OMRON connect使用條款》外,亦適用OMRON connect 雲端備份使用條款(下稱《雲端備份使用條款》)。除本雲端備份使用條款中另有規定外,以《OMRON connect 使用條款》中之規定與定義為依歸。
第1條(條款之適用)
- 雲端備份使用條款規定本服務之使用條件,包括修正、變更後內容在內,並適用於客戶使用本服務時所有行為。惟,若該修正、變更為基於其他條款所作,則不在此限,將以該條款為適用條款。
- 本公司可能依據法令規定或其他因素變更雲端備份使用條款。遇此情況,本公司會以適當方式公告或事先通知客戶,例如將變更後之雲端備份使用條款、雲端備份使用條款變更後之內容與生效日期刊登於本公司網站等。
第2條(持有帳號)
- 每位客戶持有一組帳號。一人不得持有多組帳號,亦不得多人共同持有一組帳號。
- 當客戶違反雲端備份使用條款或OMRON connect使用條款,或有違反之虞時,本公司得不事先通知客戶,逕行停止或刪除帳號。
- 本公司得不事先通知客戶,逕行刪除最後存取時間超過一年以上的帳號。
- 無論任何原因,帳號刪除時,客戶對本服務之所有使用權(包括瀏覽儲存於伺服器資料的權利)都將失效。請注意,即使客戶不慎刪除帳號,亦無法復原。
- 本服務之帳號專屬於客戶本人。客戶對本服務的所有使用權皆不得轉讓、借貸予第三方,亦不得使第三方繼承。當客戶發生需要繼承之事由時,即結束提供本服務予該客戶。
第3條(帳號及密碼之管理責任)
- 客戶不得讓第三方使用或與第三方分享自己的帳號密碼。客戶應對自己的帳號及相應密碼之使用及管理負起全責。
- 因帳號及相應密碼遭第三方使用致使客戶本人蒙受損害時,本公司概不負責。
- 若客戶發現該帳號及相應密碼因遭竊取等事由而正被第三方使用時,應立即將該情況告知本公司,並遵從本公司相關指示。
- 客戶遺忘自己設定之密碼時,應立即告知本公司,並遵從相關指示。
第4條(定義)
- 「生理數據」是指使用本公司提供的健康醫療器材所測得之血壓值、體重、體脂率及其他測量數據。
- 「客戶資料」是客戶之出生年月日或年齡、性別、身高、體重等客戶屬性資訊;將生理數據傳送至本軟體之健康醫療器材資料或輸入於該器材中之資訊;使用生理數據及本服務時客戶所設定之登入ID、ID驗證用令牌、電子郵件地址、電話號碼、密碼等與客戶帳號相關之資訊及其他所有客戶提供資訊之總稱。
- 「儲存於伺服器資料」是指由本公司委託服務業者管理的伺服器中所儲存之客戶資料。
第5條(本服務之中斷及終止)
- 本公司於包括但不限於下列各款情況下,可能中斷或終止提供全部或部分本服務。
- 因電力通訊設備故障、天災、事變等緊急事態及其他不可抗力而無法提供本服務時。
- 由本公司委託之服務業者所管理的伺服器及其他與提供本服務有關之機器、設備等需要進行維修、施工等時。
- 由本公司委託之服務業者所管理的伺服器及其他用於提供本服務之機器、設備等發生故障或障礙等時。
- 基於運用或技術原因而需中斷提供全部或部分本服務時。
即使本服務依前項規定中斷或終止,並導致客戶蒙受損害,本公司亦概不負責。
第6條(免責)
- 因客戶裝置的通訊狀態,本軟體乃至本服務中包含的缺陷及其他原因,致使全部或部分儲存於伺服器資料無法使用時,本公司亦概不負責。
- 如客戶資料儲存於伺服器後發生毀損或損失,本公司亦概不負責。此外,為維護及改善本服務,本公司可於必要範圍內複製儲存於伺服器資料。
第7條(刪除儲存於伺服器資料)
- 當發生下列任何事由時,本公司可能會刪除全部或部分儲存於伺服器資料。
- 當客戶違反雲端備份使用條款中各項條款(包括客戶業已同意並由本公司另行訂定之《OMRON connect 使用條款》)時。
- 本服務終止時。
- 客戶最後存取本服務時間超過一年以上時。
- 即使全部或部分儲存於伺服器資料根據前項規定遭到刪除,本公司亦概不負責。客戶須定期備份所需之生理數據等。
第8條(取得及使用紀錄資訊)
- 本公司可能會使用Cookie(註1)或Referer資訊(註2)等收集客戶的存取記錄、於本軟體中的操作記錄、搜尋資訊、IP位址、日期、參閱及結束頁面等本服務的使用狀況和通訊相關資料(下稱「紀錄資訊」)。當客戶於瀏覽器上禁用Cookie等時,本服務的使用可能受限。此外,傳送紀錄資訊將產生通訊費用。
(注1) 是指使用瀏覽器存取網站時從網路伺服器傳送,並於之後存取時從瀏覽器傳送至伺服器的識別資訊。
(注2) 是指瀏覽器所傳送的客戶先前瀏覽網站網址相關資訊。
- 基於改善服務等目的,本公司可能會使用外部分析服務來分析使用情況。另外,使用該服務所記錄的資料不包括可識別個人的資料。
- 本公司可能透過外部服務取得客戶於外部服務使用的ID及客戶基於外部服務的隱私設定同意揭露給協力廠商之其他資訊。
- 關於本公司收集、處理、利用上開資訊之詳細規定及依法應告知之事項,客戶應詳參本公司之隱私權聲明。
第9條(客戶資訊之處理)
- 本公司將基於下列目的使用取得之客戶資訊。
- 提供、運用、管理本服務
- 回應關於本服務的諮詢
- 委託問卷調查
- 宣傳活動、活動介紹、抽獎、獲獎通知、寄送獎品
- 開發與改善醫療、健康業務相關商品(包括演算法開發等)及服務
- 介紹醫療、健康業務商品及服務
- 其他醫療、健康器材及服務相關企劃、行銷業務、開發(包括開發系統、應用程式)業務、生產業務、推銷、銷售業務及其附屬業務
- 以提升、發展及啟蒙醫療健康領域的知識、技術及公共衛生等為目的之學術研究活動
- 本公司可於前項所述的使用目的範圍內,與下列國內外第三方提供或共享客戶資料。
- 提供給委外業者等
本公司會將客戶資料提供給應本公司委託執行資料分析、代管服務、客戶服務等業務的第三方。此外,本公司將指示所有委外業者對揭露資料保密,且不得將客戶資料用於本公司委託執行以外目的。
- 因共同使用而提供
- 本公司將於前項第1款至第8款使用目的範圍內,與本公司之母公司、子公司、關係企業、經銷商或代理商共同使用客戶資料。本公司將於前項第8款使用目的範圍內,與醫院等醫療機構、大學等學校法人、學術會議等團體或醫療健康領域的營利法人共同使用客戶資料。
- 本公司將對依本款規定之共同使用客戶資料盡管理責任。
- 為與外部服務合作而共享
與Facebook、Google帳號或其他外部服務合作,抑或使用外部服務進行驗證時,本公司可能會將客戶資料提供給外部服務營運公司。
- 法律上理由
因客戶居住國內外之法律、法規、法律程序或公家、政府機構的要求,本公司可能需要揭露客戶個人資料。為保障國家安全、執行法律或實現其他公益目的,經判斷為必須且適當時,本公司可能會揭露客戶相關資料。此外,為執行包括雲端備份使用條款在內之本公司訂定條款、本公司營運或保護客戶之目的,經判斷揭露為合理且必要時,本公司可能會揭露客戶相關資料。
- 其他獲得客戶同意時
除上述情況外,本公司亦可能於獲得客戶同意後,將包括個人資料在內之客戶資料提供給關係企業等第三方公司、組織、個人。
- 除前款規定之外,本公司亦可能對客戶資料進行加工處理,確保用於製作匿名加工資料及統計資料之個人資料無法恢復或識別特定個人,並以發表於醫學雜誌和學術會議、業務活動用的資料、刊登於首頁等網站和應用程式(包括社群媒體)等方式揭露或提供給第三方。
- 關於本公司收集、處理、利用上開資訊之詳細規定及依法應告知之事項,客戶應詳參本公司之隱私權聲明。

客戶若對於本軟體有不明之處,或對雲端備份使用條款有任何疑問、高見或要求,抑或因雲端備份使用條款中各項條款而需通知本公司時,請透過下列方式與我們聯絡。
